Retailer Terms

These Retailer Terms apply to every business ("Retailer", "you") that uses QwikExit in its stores: the Retailer Console at vendor.qwikexit.com, the QwikExit Store app used by your staff, scan-and-pay checkout for your shoppers, offers, analytics and integrations with your POS or ERP (together, the "Platform"), provided by BharatAI Solutions Private Limited ("QwikExit", "we").

They form a contract together with the order form, proposal or pilot agreement you sign or accept with us (the "Order Form"). If the Order Form and these Terms differ, the Order Form prevails for that point. By signing up, accepting an invitation or using the Platform on behalf of a business, you confirm you are authorised to bind that business.

1. The Platform and our role

We provide software and services that let your shoppers scan, pay and exit, and let your team run checkout, exit verification, catalogue, offers and reports. You are the seller of all goods sold through QwikExit in your stores: you set prices, taxes and offers, receive the payment, issue the GST invoice in your name and remain responsible to shoppers for the goods. We are your technology provider and an intermediary under the Information Technology Act, 2000.

Plans set which modules, number of stores, POS terminals, console logins and integrations you can use. Pilot or trial use is for the period and scope in the Order Form and may be ended by either party at any time unless agreed otherwise.

2. Onboarding and accounts

  • Give us accurate business, GST, PAN and contact information and keep it up to date. We may verify it and refuse or suspend accounts that are inaccurate, unlawful or high-risk.
  • Each store must have correct details, including its address and map location, so shoppers can find it and the right store is used for each purchase.
  • You control who in your organisation has access. Invite staff only through the Platform, give each person their own login, give them only the roles they need, and remove access promptly when someone leaves. You are responsible for actions taken under your logins.
  • Keep passwords, API keys, POS keys and webhook secrets confidential. Tell us at once of any suspected unauthorised access.

3. Payments from shoppers

  • Shopper payments are collected in your own Razorpay account using your keys. You must complete Razorpay's KYC and comply with its terms and RBI rules. Settlement, chargebacks, payment-gateway fees and refunds to shoppers are between you, Razorpay and the shopper.
  • In demo or pilot mode without your Razorpay keys, no real money is collected.
  • You must issue refunds for returns, failed exits, wrong charges and duplicate payments in line with your return policy, our Refund & Cancellation Policy and the law, within the timelines required by RBI and Razorpay.

4. Your responsibilities to shoppers and the law

  • Accurate catalogue, prices (never above MRP), tax rates, HSN codes, offers and stock data, and compliance with the Legal Metrology Act, 2009 and the Legal Metrology (Packaged Commodities) Rules, 2011.
  • Correct GST invoices and tax compliance under the CGST/SGST/IGST Acts. We generate invoices from the settings and data you provide; you are responsible for them.
  • A clear return, exchange and refund policy, shown to shoppers, and handling of their complaints about goods under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.
  • Respectful, lawful exit verification following our Acceptable Use & Fair Exit Policy: no searching of a person, no detention, no public accusation, and no discrimination. A risk level shown by the Platform is a suggestion, not proof of wrongdoing.
  • Displaying the in-store signage and notices we provide, including the privacy notice, at entrances and exits.
  • Not using the Platform for any unlawful purpose, prohibited goods, or goods that need age or identity checks unless your staff do those checks at the counter.

5. Fees, invoices and taxes

  • Fees (for example a per-store subscription, a per-checkout fee and a one-time setup fee) are as stated in the Order Form. Fees exclude GST, which is added at the applicable rate.
  • We invoice monthly in advance for subscriptions and in arrears for usage. Invoices are payable within 15 days unless the Order Form says otherwise.
  • If an invoice is unpaid 15 days after a reminder, we may suspend non-essential features after notice; we will not stop shoppers who have already paid from leaving the store with their goods.
  • Setup fees and fees for periods already used are not refundable, except where we materially fail to provide the Platform and do not fix it within 30 days of your written notice, in which case we refund prepaid fees for the unused period.
  • We may change list prices with 30 days' written notice; changes apply from your next billing period, and you may end the contract before they do.

6. Data protection (data processing terms)

Both parties will comply with the Digital Personal Data Protection Act, 2023, the DPDP Rules, 2025 and the Information Technology Act, 2000. The roles are:

As your Data Processor we will:

  • Process the personal data only to provide the Platform, on your instructions in these Terms, the Order Form and your settings, and not for any other purpose.
  • Keep it confidential and allow access only to personnel who need it and are bound by confidentiality.
  • Apply reasonable security safeguards in line with DPDP Rule 6, including encryption, access control, separation of your data from other retailers' data, and access logs kept for at least one year.
  • Use sub-processors only under written contracts with equivalent protections. Current sub-processors: Amazon Web Services and MongoDB Atlas (hosting, Mumbai, India), Razorpay (payments), Google Workspace or Resend (email), Anthropic (AI help with catalogue mapping, product data only). We will give notice of new sub-processors on this page.
  • Tell you without undue delay, and in any case within 24 hours of becoming aware, of a personal data breach affecting your data, and help you notify the Data Protection Board and affected people.
  • Help you respond to requests from shoppers and staff to exercise their rights, and with any inquiry from the Data Protection Board.
  • Store data in India and transfer it outside India only as allowed by section 16 of the DPDP Act.
  • When the contract ends, let you export your data for 30 days, then delete or anonymise it, except records we must keep by law (for example tax records) or that we hold as an independent Data Fiduciary.

You will:

  • Have a lawful basis and give the notices required for any personal data you upload or ask us to process (for example staff details or customer lists).
  • Not upload sensitive personal data, data of children, or data you have no right to share.
  • Not try to identify individual shoppers from anonymised statistics, or use shopper data received through the Platform for any purpose other than the sale, its exit, returns, support and your legal obligations.

7. Intellectual property and your data

  • We own the Platform, the QwikExit brand and all improvements to them. You receive a non-exclusive, non-transferable right to use the Platform for your business during the contract.
  • You own your catalogue, prices, sales data and branding, and give us a licence to use them to provide the Platform, to show your stores and offers to shoppers, and to create anonymised statistics.
  • Do not copy, resell, reverse-engineer or build a competing product from the Platform, or use automated tools to extract data from it except through our published APIs.
  • You may give us feedback; we may use it without obligation.

8. Confidentiality

Each party will keep the other's non-public business, technical and financial information confidential, use it only for this contract, and protect it with reasonable care, during the contract and for 3 years after it ends (indefinitely for trade secrets and personal data). This does not apply to information that is public, already known, independently developed or must be disclosed by law.

9. Availability and support

We use reasonable efforts to keep the Platform available and to fix problems promptly, with planned maintenance outside peak store hours where possible. Any service levels and credits are as stated in the Order Form. Your stores must always keep a normal billing counter available so shoppers can pay if QwikExit or a payment provider is unavailable. Support is available at hello@qwikexit.com and through the Support page in the Retailer Console.

10. Warranties, indemnities and liability

Each party warrants that it is validly organised and has authority to enter this contract. Except as stated, the Platform is provided "as is", and we do not warrant that it will prevent all theft or loss.

You will indemnify us against third-party claims arising from your goods, prices, taxes, invoices, return policy, staff conduct during exit checks, or your breach of law or of these Terms. We will indemnify you against third-party claims that the Platform, used as permitted, infringes their intellectual property rights.

Neither party is liable for indirect or consequential losses, or loss of profit, revenue or goodwill. Each party's total liability under the contract is limited to the fees paid and payable by you in the 12 months before the claim. These limits do not apply to fraud, breach of confidentiality, your payment obligations, or the indemnities above.

11. Term, suspension and termination

  • The contract runs for the term in the Order Form and renews for the same period unless either party gives 30 days' notice before renewal.
  • Either party may end it if the other materially breaches it and does not fix the breach within 30 days of written notice, or becomes insolvent.
  • We may suspend access immediately where needed to prevent fraud, a security risk, or a breach of law, and will restore it once the issue is fixed.
  • On termination, fees due remain payable, and section 6 on data export and deletion applies.

12. Governing law and disputes

This contract is governed by the laws of India. The parties will first try to resolve disputes by good-faith discussion between senior representatives for 30 days. Unresolved disputes will be settled by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by mutual agreement, seated at Bareilly, Uttar Pradesh, in English. Subject to this, the courts at Bareilly, Uttar Pradesh have exclusive jurisdiction, including for interim relief.

13. General

  • Notices must be in writing to the email addresses in the Order Form (for us, hello@qwikexit.com) and are effective when sent.
  • Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
  • You may not assign the contract without our consent; we may assign it to a successor of our business.
  • We may update these Terms with 30 days' notice; material changes that reduce your rights apply from your next renewal.
  • The parties are independent contractors. These Terms, the Order Form and the policies they refer to are the entire agreement on this subject.
